Enterprise AI Governance: A Practical Guide

AI governance doesn't have to be a compliance burden. Here's how we help enterprise clients build governance frameworks that actually work — protecting the business without stifling deployment.

Why Governance Matters Now

Three forces are converging to make AI governance urgent for enterprises that were comfortable ignoring it a year ago. The first is regulatory pressure: the EU AI Act is in force, US federal agencies are publishing AI guidance at an accelerating pace, and sector-specific regulators in financial services and healthcare are issuing examination guidance on AI use. "We didn't have a policy" is no longer an acceptable answer during an exam.

The second is liability exposure. As AI systems make or inform consequential decisions — credit approvals, claims handling, hiring, pricing — the question of who is accountable when those decisions are wrong is being litigated. Governance frameworks that can demonstrate accountability, auditability, and control are the difference between "we had appropriate safeguards" and "we had no idea what this system was doing."

The third is reputation risk. High-profile AI failures — biased outputs, confidential data leaks, customer-facing errors — generate press coverage disproportionate to their technical severity. An organization with a documented, practiced governance framework has a defensible position. One that deployed AI ad hoc across teams without any central visibility does not.

The Three Things Governance Must Address

Strip away the complexity and governance requirements reduce to three questions: Who owns this system? Can we explain what happened? Can we turn it off?

Accountability means there is a named human who is responsible for each AI system — its behavior, its outputs, and its consequences. Not a team, not a vendor — a person. That person should know they own it, understand what it does, and have the authority to modify or shut it down.

Auditability means you can reconstruct what the system decided, why, and based on what input. For a production AI system, this means logging — not just errors, but every decision and the context that drove it. For a regulated industry, this log may need to be retained for years and be producible in response to a regulatory or legal request.

Controllability means you can modify or halt the system at any time. This sounds obvious, but it's violated surprisingly often: AI systems that are too tightly integrated to disable without taking down other systems, deployments where the prompt is a secret known only to the vendor, systems where no one on staff understands the architecture well enough to change it.

Practical Governance Components

AI System Registry

Maintain a central catalog of every AI system operating in the organization. Each entry should capture: the system name and description, the owner, the risk tier, the data it processes, the models it uses, the decisions it makes or informs, the launch date, and the last review date. This is not glamorous work. It is essential. Organizations that can't inventory their own AI systems cannot govern them.

Data Handling Rules

Define what categories of data can be sent to AI APIs and under what conditions. At minimum: personal identifiable information (PII) should be redacted or pseudonymized before leaving your infrastructure; customer financial data should require explicit approval before being sent to external APIs; proprietary business information should have a classification-based policy. These rules need to be enforced technically, not just documented in a policy nobody reads.

Human-in-the-Loop Requirements

Not all AI decisions should be automated. Define which categories always require human review before action: decisions above a certain dollar threshold, decisions that directly communicate with customers about adverse outcomes, decisions that have legal or regulatory consequences. These requirements should be hard-coded into system design, not left as optional configurations.

Model Approval Process

Not every team should deploy any model they want without central visibility. A lightweight approval process — not a bureaucratic blocker, but a documented review — ensures that new AI deployments are registered in the system catalog, have an owner, have appropriate logging, and have been assessed for risk before going live.

Risk Tiering

Not all AI systems carry the same risk and governance requirements should scale accordingly. A framework that applies identical scrutiny to a document summarizer and a loan approval engine is going to be either too burdensome for low-risk uses or too permissive for high-risk ones.

  • Tier 1 (Low): internal tools, content summarization, drafting assistance. No PII processed, no consequential decisions, human reviews all outputs before action. Lightweight registration and basic logging required.
  • Tier 2 (Medium): customer-facing systems, systems that process PII, systems that make recommendations (not decisions). Full logging, defined escalation paths, regular quality reviews required.
  • Tier 3 (High): systems that make or significantly inform financial decisions, legal determinations, employment decisions, or medical recommendations. Mandatory human-in-the-loop, full auditability, legal review, regular bias assessment, explicit model approval required.

Common Governance Mistakes

Governance theater is the most common failure mode: policies that exist on paper but aren't followed, approval processes that rubber-stamp everything, audit logs that are technically collected but never reviewed. Governance theater is worse than no governance because it creates the impression of oversight without providing it — and it collapses catastrophically during an incident when the logs turn out to be incomplete or the policy turns out not to have been followed.

Over-restriction is the second failure mode: governance frameworks so conservative that teams route around them, deploying AI in ways that are less visible rather than less risky. Good governance needs to be practical enough that teams actually follow it.

Under-documentation is the third: deploying AI without capturing enough information about what was deployed and why that you could reconstruct the decision years later. Regulatory and legal requests don't come with convenient timing. Document design decisions, risk assessments, and approval rationale at deployment time.

The Minimum Viable Governance Framework

If you need to start somewhere, start here. Four things implemented seriously are worth more than twelve things implemented superficially.

The four essentials

  • 1.A system registry with an owner assigned to every AI system in production
  • 2.A data handling policy with technical enforcement (not just a document)
  • 3.A risk tier for each system and appropriately tiered logging and review requirements
  • 4.A documented shutdown and override procedure for each production system

Anthropic's constitutional AI approach helps at the model layer — it reduces certain categories of harmful output and provides some baseline safety properties. But model-layer safety doesn't substitute for organizational governance. The model layer governs what the AI will do. Organizational governance governs what your organization does with the AI. Both are necessary.
